Perusable - Terms of Service

Welcome to Perusable! These Terms of Service ("Terms") govern your use of the Perusable website, mobile application, and any related services (collectively, the "Services") provided by Playback Rewards, Inc. dba Perusable ("Perusable," "we," "us," or "our").

By creating a Perusable account or by accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Description of Service

Perusable is an AI-powered online shopping platform designed to help you discover, compare, and find the best products for your needs. Our Services use artificial intelligence to provide you with personalized product recommendations based on your inputs and preferences. The Services may provide product information, including but not limited to, descriptions, specifications, prices, and availability. Please be aware that you do not purchase products directly through the Perusable platform; we direct you to third-party online retailers to make your purchase.

2. AI-Powered Recommendations and Information Accuracy

Our AI is designed to provide you with relevant and helpful product recommendations. However, the recommendations and all associated product information, including pricing and availability, are generated by an AI and are for informational purposes only.

Disclaimer: While we strive for accuracy, Perusable does not guarantee that the product descriptions, prices, or any other content of the Service is accurate, complete, reliable, current, or error-free. The information provided is subject to change without notice. You should always verify the accuracy of any information, including pricing, on the third-party retailer's website before making a purchase. Perusable is not responsible for any inconsistent or incorrect information.

3. Third-Party Retailers

The Services will redirect you to third-party websites to purchase products. Your interactions and transactions with these third-party retailers are solely between you and the third party. Perusable is not a party to these transactions and is not responsible for any aspect of your purchase, including but not limited to, the quality of the product, shipping, returns, or customer service.

Before making a purchase, you should carefully review the terms of service, privacy policies, and any other agreements of the third-party retailer. Perusable is not liable for any loss or damage of any sort incurred as the result of any such dealings.

4. No Responsibility for Purchases, Returns, or Warranties

Perusable is a discovery and recommendation platform, not a retailer. As such, we have no involvement in your purchase transaction with the third-party retailer. You acknowledge and agree that:

• Perusable does not handle, and is not responsible for, the shipping, tracking, returns, or exchanges of any products you purchase from third-party retailers. All such inquiries must be directed to the retailer where you made the purchase.

• Perusable is not responsible for the quality, safety, legality, or any other aspect of the products you purchase. Any issues, claims, or disputes regarding a product must be resolved directly between you, the retailer, and/or the product manufacturer.

• Perusable provides no representations or warranties, express or implied, for any products recommended on the Service. The principle of "caveat emptor" (buyer beware) applies, and you assume all risk associated with your purchases.

5. Privacy Policy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal information. By using our Services, you agree to the collection and use of information in accordance with our Privacy Policy.

6. User Accounts and Eligibility

You agree to provide accurate and complete information when creating your account and to update your information as necessary. Only one (1) User Account is permitted per person.

Our Services allow you to input information, including personal information, to receive personalized recommendations. You are solely responsible for the content you provide to the Services ("User-Generated Content").

You agree not to provide any personally identifiable information (PII) that you do not want to be used by the Services to generate recommendations. You are responsible for ensuring that your User-Generated Content does not violate any applicable laws or the rights of any third party. Perusable is not responsible for the consequences of any PII you choose to share.

8. User-Generated Content Disclaimer

We do not endorse and are not responsible for any User-Generated Content. You acknowledge that by using the Service, you may be exposed to content that is inaccurate, offensive, or otherwise objectionable. We assume no responsibility or liability for User-Generated Content.

9. Intellectual Property

All content and materials included on the Services, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Services, is the property of Perusable or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights.

10. Acceptable Use Policy

You agree not to use the Services for any unlawful purpose or in any way that could harm our Services, our business, or any third party. Specifically, you agree not to:

• Violate any law or regulation.

• Infringe the rights of any third party, including intellectual property, privacy, or publicity rights.

• Transmit any viruses, malware, or other malicious code.

• Attempt to gain unauthorized access to our systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Services.

• Use any robot, spider, scraper, or other automated means to access our Services for any purpose without our express written permission.

• Use the Service to develop a competing product or service, or to develop, train, or improve any AI or machine learning models.

• Engage in any fraudulent activity, including but not limited to, providing false or misleading information.

11. Compliance with Laws

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Services.

12. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL PERUSABLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Perusable, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

14. Dispute Resolution: Arbitration Agreement; Class Waiver; Waiver of Trial by Jury

Please read this section carefully. It affects your rights and will have a substantial impact on how claims you and Perusable have against each other are resolved.

You and Perusable agree that any claim or dispute at law or equity that has arisen or may arise between us relating in any way to or arising out of this or previous versions of the Perusable Terms of Service, your use of or access to the Services, or any products or services sold or purchased through the Services, will be resolved in accordance with the provisions set forth in this Dispute Resolution section.

A. Agreement to Arbitrate: You and Perusable each agree that any and all disputes or claims that have arisen or may arise between you and Perusable shall be resolved exclusively through final and binding arbitration, rather than in court.

B. Prohibition of Class and Representative Actions and Non-Individualized Relief: YOU AND PERUSABLE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND PERUSABLE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER USERS.

C. Jury Trial Waiver: YOU AND PERUSABLE HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Perusable are instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement.

15. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
